Welcome to Legalwrite. These Terms of Service (“Terms”) govern your access to and use of Legalwrite’s website, platform, and content services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

“Legalwrite,” “we,” “our,” or “us” refers to Legalwrite LLC. “You” or “Client” refers to the individual or entity using the Service.

1. Eligibility

You must be at least 18 years old to use the Service. By using Legalwrite, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.

2. Account Registration and Security

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. Legalwrite is not liable for any loss or damage arising from your failure to protect your account credentials.

3. Service Description

Legalwrite provides AI-powered content creation services, including blog posts, articles, thought leadership pieces, and other written content. Our Service combines advanced AI technology with quality assurance processes to deliver publication-ready content.

4. Subscription Plans and Credits

Legalwrite offers monthly and annual subscription plans. Each plan includes a specified number of credits, which are used to access content creation and related services. Credit usage varies by service type and is outlined in your plan details.

Payment: Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). Additional credits may be purchased at the per-word rate associated with your subscription tier.

Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

5. Refund Policy

Content Credits: If you are dissatisfied with any content we deliver, we will refund 100% of the credits used for that content upon request.

Subscription Refunds: If you are dissatisfied with the Service overall, refunds are available within the following windows:

  • Monthly Subscriptions: Full refund available within 14 days of the billing date.
  • Annual Subscriptions: Full refund available within 30 days of the billing date.

After these refund windows, no refunds will be issued. You may cancel your subscription at any time to prevent future renewals, but no refund will be provided for the current billing period.

6. Revisions

We offer revisions on delivered content at no additional charge, provided the revision request aligns with the scope and specifications of the original content brief. Revision requests that substantially change the direction, topic, or scope of the original brief may require additional credits.

Legalwrite reserves the right to limit revision requests on accounts that demonstrate patterns of excessive or unreasonable revision demands. In such cases, we will work with you to address underlying issues or determine if the Service is a good fit for your needs.

Revisions are only available while your subscription is active. Once your subscription ends or lapses, revision requests will not be honored.

7. Content Ownership and License

Your Ownership: Upon full payment, you own all rights, title, and interest in the content we create for you. You may use, publish, modify, and distribute the content as you see fit.

Legalwrite’s Limited License: You grant Legalwrite a non-exclusive, royalty-free license to use anonymized excerpts or samples of delivered content for marketing, promotional, and portfolio purposes. We will not attribute such samples to you or identify you as the source without your prior written consent.

8. Client-Provided Materials

You may provide us with materials such as content briefs, brand guidelines, source documents, and other information (“Client Materials”) to assist in content creation.

Confidentiality: We will treat your Client Materials as confidential and will not sell or disclose them to unaffiliated third parties, except: (a) to service providers and subprocessors who assist us in delivering the Service, who are bound by confidentiality obligations; or (b) as required by law, regulation, or valid legal process.

Process Improvement: You acknowledge that general insights, learnings, and know-how derived from working with Client Materials may be used to improve our processes, technology, and AI systems, provided that no confidential or proprietary information is disclosed or identifiable.

9. Acceptable Use

You agree not to use the Service to create, request, or publish content that:

  • Is illegal, fraudulent, or violates any applicable law or regulation
  • Infringes on the intellectual property rights of any third party
  • Contains hate speech, harassment, threats, or promotes violence
  • Is defamatory, libelous, or invades the privacy of others
  • Contains intentional misinformation or disinformation
  • Is obscene, pornographic, or sexually explicit
  • Promotes illegal activities, substances, or services
  • Impersonates any person or entity, or misrepresents your affiliation

Legalwrite reserves the right to refuse any content request that violates these standards and to terminate accounts that repeatedly or egregiously violate this policy.

10. Service Availability and Maintenance

We strive to maintain consistent availability of the Service. However, the Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control.

We will make reasonable efforts to provide advance notice of planned maintenance windows when possible. Legalwrite is not liable for any interruption, delay, or unavailability of the Service.

11. Non-Payment and Account Status

If your subscription lapses or payment fails, your account will remain accessible and you will retain access to previously delivered content. However, you will not receive additional credits, and revision requests will not be honored until your subscription is renewed and payment is current.

12. Disclaimers

Content Provided “As-Is”: All content delivered through the Service is provided “as-is.” While we employ rigorous quality assurance processes, you are solely responsible for reviewing all content before use or publication. Legalwrite does not guarantee that content will be free of errors, omissions, or inaccuracies.

Not Professional Advice: Content created by Legalwrite does not constitute legal, medical, financial, tax, or other professional advice. Although our process is built on legal-sector precision and rigor, the content itself is for informational and marketing purposes only. You should consult qualified professionals for advice specific to your situation.

No Guarantees on Results: Legalwrite does not guarantee any specific outcomes, including but not limited to search engine rankings, website traffic, lead generation, conversion rates, or business results. Content performance depends on many factors outside our control.

Client Responsibility: You are solely responsible for ensuring that content meets your industry’s regulatory, compliance, and legal requirements before publication. Legalwrite is not liable for any consequences arising from your use or publication of content we create.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGALWRITE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR ANY CONTENT DELIVERED THROUGH THE SERVICE.

IN NO EVENT SHALL LEGALWRITE’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT YOU PAID TO LEGALWRITE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF LEGALWRITE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Indemnification

You agree to indemnify, defend, and hold harmless Legalwrite and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Service or any content delivered through the Service
  • Your publication or distribution of content we create
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third party’s rights

15. Termination

By You: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period, and you will retain access to the Service until that date. No refunds will be issued for the current billing period after the applicable refund window has passed.

By Legalwrite: We may suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, fail to pay fees when due, or for any other reason at our sole discretion. We may also discontinue the Service entirely with reasonable notice to active subscribers.

Upon termination, your right to use the Service ceases immediately. You will retain ownership of content already delivered and paid for.

16. Changes to Terms and Service

Terms: We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the “Effective Date” above. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

Service and Pricing: We may modify the Service, features, or pricing at any time. We will provide at least 30 days’ notice before implementing material pricing changes that affect your current subscription. Such notice will be provided via email to the address associated with your account.

17. Governing Law and Dispute Resolution

Governing Law: These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.

Informal Resolution: Before initiating any formal dispute resolution, you agree to first contact us and attempt to resolve any dispute informally for at least 30 days.

Jurisdiction: Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved exclusively in the state or federal courts located in King County, Washington. You consent to the personal jurisdiction of such courts.

Small Claims: Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court’s jurisdictional limits.

18. Force Majeure

Legalwrite shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, internet or infrastructure failures, or strikes.

19. Assignment

You may not assign or transfer these Terms or your rights under them without Legalwrite’s prior written consent. Legalwrite may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.

20. Electronic Communications

By using the Service, you consent to receive communications from Legalwrite electronically, including emails regarding your account, billing, service updates, and other notices. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

21. Feedback

If you provide Legalwrite with any feedback, suggestions, or ideas regarding the Service (“Feedback”), you grant Legalwrite a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

22. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

23. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Legalwrite regarding the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
